These Terms & Conditions (“Terms”) govern access to and use of https://www.AdaptiveStrategicConsulting.com (the “Website”) and any services provided by Adaptive Strategic Consulting INC., (“ASC,” “Company,” “we,” “us,” or “our”).
By accessing the Website, engaging with ASC, or using any services, you agree to be legally bound by these Terms. If you do not agree, you must not use the Website or services.

2. SERVICES OVERVIEW
Adaptive Strategic Consulting provides non-regulated business advisory, strategic guidance, operational coordination, management support, and transaction support, including non-regulated mergers and acquisitions (M&A) support, as further defined in individual service agreements.
All services are:
Advisory, strategic, administrative, and coordinative in nature
Non-licensed and non-regulated unless expressly stated otherwise in writing
Provided on a best-efforts basis only
ASC does not guarantee outcomes, results, timelines, or commercial success.
3. NO PROFESSIONAL OR REGULATED SERVICES
ASC does not provide:
Legal advice
Tax advice
Accounting or audit services
Investment or securities advice
Brokerage, dealer, or placement services
Fairness opinions or formal valuations
ASC is not a registered investment dealer, securities advisor, portfolio manager, or financial institution.
Any regulated services must be obtained from independent, licensed professionals.
4. NO CLIENT OR FIDUCIARY RELATIONSHIP
No client, fiduciary, partnership, agency, or professional relationship exists unless and until:
A written service agreement is executed, and
Signed by authorized representatives of Adaptive Strategic Consulting INC.
Website communications, exploratory calls, emails, or informal discussions do not constitute engagement.
5. RETAINER-BASED SERVICES & CREDITS
Where services are provided on a retainer or credit-based basis, the following applies unless otherwise stated in writing:
Retainers are billed in advance
Credits represent access and availability, not guaranteed hours
Credits are consumed based on service complexity, urgency, and timing
Credits do not roll over unless expressly stated
Unused credits expire at the end of the billing period
Additional services beyond allocated credits may be billed separately
ASC reserves discretion in how credits are applied.
6. AVAILABILITY & RESPONSE TIMES
ASC provides services on a commercially reasonable efforts basis.
No guaranteed response times
No 24/7 availability unless contractually agreed
Emergency, after-hours, or expedited requests may require additional fees or credits
7. M&A AND TRANSACTION SUPPORT LIMITATIONS
ASC may assist with M&A matters strictly in a non-regulated capacity, including:
Strategic positioning and readiness
Transaction planning and coordination
Process oversight and timeline management
Liaison with third-party professionals
Post-transaction integration support
ASC does not:
Solicit buyers or sellers of securities
Negotiate securities transactions
Provide valuations or fairness opinions
Structure or execute securities transactions
All legal, tax, valuation, and securities work must be handled by licensed third parties.
8. THIRD-PARTY SERVICE PROVIDERS
ASC may recommend or coordinate with third-party providers at a client’s request.
ASC:
Does not endorse or guarantee third-party providers
Is not responsible for third-party acts, omissions, or advice
Is not a party to third-party agreements
Clients engage third parties at their own risk.
9. FEES, BILLING & PAYMENTS
Unless otherwise agreed in writing:
All fees are exclusive of applicable taxes
Invoices are payable upon receipt
Late payments may result in service suspension
Fees are non-refundable once services are rendered or access is provided
ASC reserves the right to revise pricing with notice.
10. TERMINATION
Either party may terminate a service agreement in accordance with its terms.
Upon termination:
Outstanding fees remain payable
Unused credits are forfeited unless otherwise agreed
ASC has no obligation to continue services
Termination does not affect accrued rights or liabilities.
11. CONFIDENTIALITY
ASC will treat client information as confidential and will not disclose it except:
As required to perform services
To third-party professionals with client consent
As required by law
Confidentiality obligations do not apply to information that is public or independently obtained.
12. INTELLECTUAL PROPERTY
All materials, methodologies, frameworks, and content provided by ASC remain the intellectual property of Adaptive Strategic Consulting INC., unless otherwise agreed in writing.
Clients receive a limited, non-transferable right to use deliverables for internal business purposes only.
13. DISCLAIMER OF WARRANTIES
Services and Website content are provided “as is” and “as available”, without warranties of any kind, express or implied.
ASC disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
14. LIMITATION OF LIABILITY
To the maximum extent permitted by law, Adaptive Strategic Consulting INC. shall not be liable for:
Lost profits or revenue
Business interruption
Loss of opportunity
Indirect, incidental, or consequential damages
Total liability, if any, shall not exceed the fees paid to ASC in the three (3) months preceding the claim.
15. INDEMNIFICATION
You agree to indemnify and hold harmless Adaptive Strategic Consulting INC. from any claims, losses, damages, liabilities, or expenses arising from:
Your use of the Website or services
Your breach of these Terms
Your violation of applicable laws
16. COMPLIANCE WITH LAWS
You are responsible for ensuring that your use of ASC’s services complies with applicable laws in your jurisdiction.
ASC makes no representation regarding suitability under foreign laws.
17. GOVERNING LAW & JURISDICTION
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
You irrevocably submit to the exclusive jurisdiction of the courts located in Ontario, Canada.
18. SEVERABILITY
If any provision is held unenforceable, the remaining provisions remain in full force and effect.
19. NO WAIVER
Failure to enforce any provision does not constitute a waiver of rights.
20. MODIFICATIONS
ASC reserves the right to modify these Terms at any time. Continued use constitutes acceptance of the updated Terms.
21. ENTIRE AGREEMENT
These Terms, together with the Legal Notice and Privacy Policy, constitute the entire agreement governing Website use and services.
